These terms of service form a binding agreement between you and Threada Living Private Limited (trading as Loom & Living) that governs your use of our website and every purchase you make from us, including pricing and payment.

1. About us and acceptance

1.1 This website, https://loomliving.in (the "Website"), is operated by Threada Living Private Limited, a company incorporated in India (CIN: U74102UW2026PTC250118), trading as Loom & Living ("we", "us", "our"). 1.2 By accessing the Website, creating an account or placing an order, you agree to these terms and to our Return and refund policy, Shipping policy, Privacy policy (which includes our use of cookies), Contact information and Legal notice (together, the "Policies"), which form part of these terms. If you do not agree, please do not use the Website.

1.3 This document is an electronic record under the Information Technology Act, 2000 and the rules made under it. It is generated by a computer system and does not require a physical or digital signature.

2. Eligibility

2.1 You must be at least 18 years old and capable of entering a binding contract under the Indian Contract Act, 1872 to place an order. Minors may use the Website only with the involvement of a parent or legal guardian.

3. Your account and information

3.1 You must give accurate, current and complete information when ordering or creating an account, and keep it updated.

3.2 You are responsible for keeping your login details confidential and for all activity under your account. Tell us promptly at support@loomliving.in if you suspect unauthorised use.

4. Our products

4.1 Our rugs are handmade in India by skilled artisans. Because of this, each rug is unique. Size may vary by up to 3% from the stated dimensions, and colour, shading, texture and pattern may vary slightly between rugs and from images shown on the Website.

4.2 Colours on your screen depend on your device and settings. We try to show them accurately but cannot guarantee an exact match. These natural characteristics are not defects.

4.3 Product descriptions, dimensions and images are provided in good faith. We may correct errors at any time.

5. Orders and contract formation

5.1 Placing an order is an offer to buy. A binding contract is formed only when we send you an order confirmation (and, for made-to-order rugs, when we receive the deposit).

5.2 We may refuse or cancel an order for reasons including unavailability, pricing or description errors, payment issues, an unserviceable pincode or suspected fraud. If we cancel, we will refund any amount you have paid for that order.

6. Prices and taxes

6.1 Prices are shown in Indian rupees (INR) and include Goods and Services Tax (GST). There is no separate shipping charge.

6.2 The price applicable to your order is the price shown at checkout when your order is placed. Prices may change without notice, but changes do not affect confirmed orders. If a product is listed at an obvious error, we may cancel the order and refund what you paid, even if we have already sent a confirmation.

6.3 We issue a GST-compliant invoice for every order. Our GSTIN is 09AAMCT8907A1Z5. If you need a GST invoice in your business name, enter your GSTIN at checkout. We may not be able to change an invoice after it has been issued.

7. Payment

7.1 We accept UPI, credit and debit cards, net banking, popular wallets, and EMI or buy-now-pay-later options where offered at checkout. The options you see depend on your bank, card and payment provider. We do not offer Cash on Delivery.

7.2 Payments are processed by Razorpay Software Private Limited, an independent payment gateway. Your payment details are entered on secure pages operated by the payment gateway or your bank. We do not see or store your full card number, CVV, UPI PIN, OTP or net-banking credentials. Payment processing is subject to the terms of the payment gateway and your bank, and to applicable Reserve Bank of India rules.

7.3 Made-to-order and custom rugs are paid as a 50% deposit when you order and the 50% balance before dispatch, on the terms in our Return and refund policy.

7.4 EMI and similar options are provided by banks, card issuers or finance partners, not by us. Eligibility, interest, processing fees and other charges are set by them and governed by your agreement with them. We are not a lender and are not responsible for a decision to approve or decline you.

7.5 If money is debited from your account but you receive no order confirmation, the amount is usually reversed automatically by your bank or the payment gateway within 5 to 7 business days. If it is not reversed in that time, email support@loomliving.in with the transaction ID or UTR number and a screenshot, and we will help you trace it. If you are charged twice for the same order, we will refund the duplicate payment.

7.6 We may verify your identity, address or payment before dispatch. We may hold or cancel an order that appears fraudulent, unauthorised or in breach of these terms, and we will refund any amount paid for a cancelled order.

7.7 If you have a concern about a charge, please contact us first at support@loomliving.in so we can resolve it quickly, before raising a dispute with your bank.

8. Delivery, returns, cancellations and warranty

8.1 Delivery is governed by our Shipping policy. Returns, exchanges, cancellations, damage claims, refunds and warranty are governed by our Return and refund policy. In brief: shipping is free across India; in-stock rugs may be returned within 7 days of delivery if they meet the conditions in that policy; custom, Sale and Loom Exclusives items are final sale; and damage must be reported within 72 hours with photographs.

9. Custom orders

9.1 For custom and made-to-order rugs you are responsible for the accuracy of the size, colour and design you approve. Once production begins, the deposit is non-refundable, as set out in our Return and refund policy.

9.2 If you supply your own design, you confirm that you own it or have the right to use it, and you agree to indemnify us against any claim that it infringes another person's rights.

10. Use of the Website

10.1 You agree not to: use the Website for any unlawful or fraudulent purpose; provide false information; interfere with or disrupt the Website or its security; introduce viruses or harmful code; scrape, copy or harvest content or data by automated means; impersonate any person; or use the Website to send unsolicited communications.

10.2 We may suspend or restrict access to the Website, or to your account, if you breach these terms.

11. Intellectual property

11.1 All content on the Website, including text, images, photographs, rug designs and patterns, collection names, logos, the Loom & Living name and the look and feel of the Website, belongs to us or our licensors and is protected by law.

11.2 You may view and print content for your personal, non-commercial use. You may not copy, reproduce, adapt, distribute or commercially exploit it, or reproduce our rug designs, without our prior written consent.

12. Reviews and content you submit

12.1 If you post a review, photo or other content, you confirm that it is accurate, lawful and yours to share, and you grant us a non-exclusive, royalty-free, worldwide licence to use, display and reproduce it for our business. We may remove content that is unlawful, abusive, misleading or off-topic.

13. Third-party links and services

13.1 The Website may link to third-party websites and services, including payment gateways, couriers and social media. We do not control them and are not responsible for their content, policies or practices.

14. Disclaimer

14.1 To the extent permitted by law, the Website is provided "as is" and "as available". We do not guarantee that it will be uninterrupted, error-free or free from harmful components.

15. Limitation of liability

15.1 To the extent permitted by law, we are not liable for any indirect, incidental, special or consequential loss, or for loss of profit, income, business or goodwill, arising out of your use of the Website or your purchase.

15.2 To the extent permitted by law, our total liability to you for any claim relating to a purchase is limited to the price you paid for the product giving rise to the claim.

15.3 Nothing in these terms excludes or limits liability that cannot be excluded or limited under applicable law, including your rights under the Consumer Protection Act, 2019.

16. Indemnity

16.1 You agree to indemnify us against loss, damage, claims and reasonable costs arising from your breach of these terms or misuse of the Website.

17. Events beyond our control

17.1 We are not liable for delay or failure to perform caused by events beyond our reasonable control, including natural disasters, pandemics, government action, strikes, transport disruption, or supplier and artisan unavailability.

18. Communications

18.1 By placing an order you agree that we may contact you by email, phone and SMS about your order, delivery and after-sales service. We send marketing emails only with your consent, and you may opt out at any time, as explained in our Privacy policy.

19. Privacy and cookies

19.1 Our collection and use of your personal data, and our use of cookies, are described in our Privacy policy.

20. Grievances

20.1 If you have a complaint, please contact our Grievance Officer, whose details and process are in our Contact information.

21. Governing law and jurisdiction

21.1 These terms are governed by the laws of India.

21.2 Subject to clause 21.3, the courts at Noida, Gautam Buddha Nagar, Uttar Pradesh have exclusive jurisdiction over any dispute arising out of these terms or your purchase.

21.3 Nothing in this clause prevents you, as a consumer, from approaching a consumer commission that has jurisdiction under the Consumer Protection Act, 2019.

22. Changes to these terms

22.1 We may update these terms and the Policies from time to time. The updated version applies from the date it is posted on the Website. Orders are governed by the version in force when the order was placed. Please review them periodically.

23. General

23.1 If any provision of these terms is held invalid or unenforceable, the remaining provisions continue in effect.

23.2 Our failure to enforce any right is not a waiver of that right.

23.3 These terms and the Policies are the entire agreement between you and us about their subject matter.

23.4 You may not assign your rights under these terms without our written consent. We may assign ours to a successor to our business.
